Terms of Service

1. Acceptance of Terms
By accessing or using the services provided by Programación CARET de México, S.A. de C.V. ("CARET", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms constitute a legally binding agreement between you and CARET.
2. Service Description
CARET provides cloud-based manufacturing operations software ("the Platform") including modules for production tracking, quality inspection, maintenance management, inventory control, and other related functionalities. The Platform is offered as Software as a Service (SaaS) and requires an active subscription for access.
3. User Accounts
To access the Platform, you must create user accounts for your organization. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your accounts. You agree to immediately notify CARET of any unauthorized use of your accounts. CARET reserves the right to suspend or terminate accounts that violate these terms.
4. Payment and Billing
Services are billed annually in advance unless otherwise agreed in writing. Pricing is based on the modules contracted and is not dependent on the number of users. All amounts are quoted in USD and must be paid within 30 days of invoice date. Invoices will be issued as Mexican CFDI (Comprobante Fiscal Digital por Internet) as required by Mexican tax law. Late payments may result in service suspension.
5. Intellectual Property
The Platform, including all software, documentation, designs, and content, is the exclusive property of Programación CARET de México, S.A. de C.V. and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform during your subscription period. For custom development projects, intellectual property ownership will be defined in the specific project agreement.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information received from the other party. This includes, but is not limited to, business data, technical specifications, and operational information. Confidentiality obligations survive termination of this agreement for a period of five (5) years.
7. Limitation of Liability
To the maximum extent permitted by applicable law, CARET shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. CARET's total liability shall not exceed the amounts paid by you for the services during the twelve (12) months preceding the claim.
8. Termination
Either party may terminate this agreement with 90 days written notice before the renewal date. CARET may terminate immediately for breach of these terms. Upon termination, your access to the Platform will cease, and CARET will provide your data in a standard format within 30 days of request. Data will be deleted from our systems 90 days after termination.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the United Mexican States. Any disputes arising from these terms shall be resolved exclusively in the courts of Tijuana, Baja California, Mexico. Both parties expressly waive any other jurisdiction that may correspond to them.
